Terms and Conditions Agreement for CityChapterConnect Membership Application and Use

I. Introduction and Acceptance of Terms

This document, referred to as the "Agreement," sets forth the legally binding terms and conditions for the use of CityChapterConnect, a digital platform managed and operated by Phiya Technologies, Inc., referred to as "The Company." This Agreement governs all interactions between the user, referred to as "The User," and The Company, related to The User's application for membership within the Young Next Generation (YNG) and subsequent interactions.‍

‍II. Comprehensive Data Usage, Collection, and Consent Agreement

The User acknowledges and consents to the collection, storage, processing, and use of personal and familial information, including demographic data, affiliations, and multimedia content from YNG events, by The Company for application processing, membership management, analytical assessments, marketing, and other necessary uses. Users have the right to request access to, rectification of, or erasure of their personal data under applicable laws. Requests should be directed to the contact details provided below.

III. Membership Fees and Chapter Leadership Authority

The User acknowledges and agrees that membership fees and associated costs are determined solely by the leadership of the respective YNG chapter to which they apply. Phiya Technologies, the operator of CityChapterConnect, is not involved in setting or modifying these fees. By applying for membership, The User consents to pay the fees as prescribed by the chapter leadership. Any disputes regarding fees must be addressed directly with the respective chapter leadership, as Phiya Technologies holds no authority or liability in these matters.

IV. Payment, Fees, and Taxes

a. Setting Ticket Prices
Chapter leaders or event organizers using CityChapterConnect determine ticket prices, including any additional fees to charge attendees, such as convenience fees, processing fees, or other surcharges.

b. Service Fees
CityChapterConnect charges a service fee on each ticket sold through our platform. This fee is disclosed during the event setup process and is deducted from ticket sales revenue.

c. Payment Processing Fees
Third-party payment processors may apply additional fees (e.g., credit card processing fees). These fees will be deducted from the ticket sales revenue alongside the service fee.

d. Taxes
Event organizers are responsible for determining and remitting applicable taxes on ticket sales. Where required by law, The Company may collect and remit taxes on behalf of the organizer. Organizers agree to provide accurate tax information to facilitate compliance.

V. Refunds and Cancellations

All payments made through CityChapterConnect are final and non-refundable unless otherwise specified by the respective YNG chapter or event organizer. Refund policies are determined solely by the chapter leadership or organizer, and The Company does not mediate refund requests. If consented to by the YNG chapter, Phiya Technologies may facilitate refunds via email requests at admin@citychapterconnect.com

VI. User Conduct and Prohibited Activities

The User agrees to use CityChapterConnect responsibly and in compliance with all applicable laws. Prohibited activities include, but are not limited to:

  • Providing false, misleading, or fraudulent information.
  • Sharing or distributing unauthorized or harmful content.
  • Attempting to hack, disrupt, or misuse the platform infrastructure.
  • Violating intellectual property rights.
  • Using the platform for unauthorized commercial purposes.

VII. Limitation of Liability

The Company is not liable for any losses or damages resulting from:

  • Service interruptions or technical issues affecting platform availability.
  • Mismanagement by individual chapters, including disputes over fees or event details.
  • User reliance on inaccurate or incomplete information provided by chapter leadership.
  • Third-party actions, including vendors or attendees, not under The Company's control.

VIII. Data Sharing and Privacy

The Company may share user data with third-party service providers for purposes such as payment processing, marketing, and platform analytics. Users consent to receive marketing communications unless they explicitly opt out. Data will not be shared with unauthorized third parties without user consent.

IX. Intellectual Property and Non-Affiliation

Intellectual Property Rights
All content, trademarks, and platform designs are the sole property of Phiya Technologies. Users may not reproduce, distribute, or exploit any content without prior written consent. Any user-generated content uploaded to the platform grants The Company a perpetual, royalty-free license for platform-related purposes.

Non-Affiliation Disclaimer
CityChapterConnect operates independently from YPO, YNG, or any associated organization. The use of YNG or chapter logos on the platform is authorized only for operational purposes and does not imply ownership, endorsement, or affiliation.

X. Amendments and Notification

The Company reserves the right to update these Terms at any time. Changes will be communicated through email or platform notifications and take effect upon posting. Continued use of the platform constitutes acceptance of revised Terms.

XI. Chapter Leader Obligations

Chapter leaders using CityChapterConnect for membership or event management agree to:

  • Accurately represent fees and policies to their members.
  • Ensure data shared on the platform is accurate and up-to-date.
  • Handle disputes directly with members, without involving The Company.

XII. Governing Law, Dispute Resolution, and Arbitration

This Agreement shall be governed by the laws of the jurisdiction where The Company is incorporated. Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the American Arbitration Association, taking place in the jurisdiction chosen by The Company.

XIII. Comprehensive Agreement and Severability

This Agreement constitutes the entire agreement between The User and The Company regarding CityChapterConnect and supersedes all prior agreements. The failure of The Company to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

XIV. Contact and Notices
